Terms of Service

These Terms of Service ("Terms") govern your access to and use of SmartAccounts (the "Service"), operated by Scalexbrain Mediaworks Private Limited ("we", "us", "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

You may use SmartAccounts only if you:

• Are at least 18 years of age
• Have the legal authority to enter into a binding contract
• Are using the Service for a legitimate business purpose
• Are not barred from receiving services under applicable Indian or international law

2. Account Registration

You must provide accurate, complete, and current information during registration. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Promptly notifying us of any unauthorised use
• Ensuring your team members (if any) comply with these Terms

We reserve the right to refuse, suspend, or terminate accounts at our discretion.

3. Subscription, Fees, and Payment

3.1 Plans and pricing

SmartAccounts offers monthly and annual subscription plans. Current pricing is published on our website and may be updated from time to time. Existing subscriptions are honoured at the price agreed at the time of purchase until renewal.

3.2 Payment

Payment is processed via Razorpay. By subscribing, you authorise us to charge your payment method for the applicable fees. All fees are in Indian Rupees (INR) and inclusive/exclusive of GST as displayed at checkout.

3.3 Renewal

Subscriptions auto-renew at the end of each billing cycle unless cancelled at least 24 hours before the renewal date. You can cancel anytime from your account settings.

3.4 Refunds

We offer a 7-day refund window for new subscriptions if you are not satisfied. After the refund window, fees are non-refundable except where required by law. Pro-rated refunds are not provided for partial billing cycles.

3.5 Taxes

You are responsible for all applicable taxes (GST, etc.) associated with your use of the Service.

4. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful, fraudulent, or harmful purpose
• Violate any applicable laws or regulations (including tax, accounting, and data protection laws)
• Misrepresent your identity or business
• Upload viruses, malware, or harmful code
• Attempt to gain unauthorised access to other accounts or our systems
• Reverse-engineer, decompile, or disassemble any part of the Service
• Resell, sublicense, or redistribute the Service without our written consent
• Use the Service to send spam or unsolicited communications
• Use the Service in a manner that exceeds reasonable rate limits or imposes undue load on our infrastructure

5. Your Data

You retain full ownership of all data you upload, enter, or generate through the Service ("Your Data"). By using the Service, you grant us a limited license to host, process, transmit, and back up Your Data solely as needed to provide the Service.

You are responsible for:

• The accuracy and legality of Your Data
• Obtaining necessary consents from third parties (e.g., customers, employees) whose data you store in SmartAccounts
• Backing up Your Data independently (while we maintain backups, we recommend periodic exports)
• Complying with applicable laws including the Income Tax Act, GST Act, DPDP Act, and IT Act

6. Third-Party Integrations

The Service offers optional integrations with third-party platforms (Meta/Facebook, WhatsApp, WooCommerce, Shopify, Razorpay, payment gateways, and others). When you enable an integration:

• You authorise data exchange with that third party
• You agree to the third party's own terms and privacy policies
• We are not responsible for the availability, accuracy, or behaviour of third-party services
• We may modify or remove integrations at our discretion with reasonable notice

7. Service Availability and Modifications

We strive for high availability but do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance (with advance notice when possible)
• Modify, suspend, or discontinue features at our discretion
• Update the Service with new features, bug fixes, or security improvements

We are not liable for downtime, data loss, or business impact caused by service interruptions, except as required by law.

8. Intellectual Property

SmartAccounts, including its software, design, content, branding, logos, and underlying technology, is owned by us and protected by Indian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your business purposes during your subscription period.

You may not:

• Copy, modify, or create derivative works of the Service
• Remove or alter any proprietary notices
• Use our trademarks or brand without written consent

9. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, except as required by applicable law.

10. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising out of or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

We are not liable for:

• Indirect, incidental, consequential, special, or punitive damages
• Lost profits, lost data, or business interruption
• Errors in Your Data or its use by third-party services you authorise
• Acts of third parties beyond our reasonable control

11. Indemnification

You agree to indemnify, defend, and hold harmless SmartAccounts, its affiliates, officers, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of third-party rights
• Your Data or content uploaded to the Service

12. Termination

You may terminate your account at any time from your account settings or by emailing pandeyashwin97@gmail.com. Upon termination:

• Your access to the Service ends immediately
• You may export Your Data for up to 30 days after termination
• After 30 days, Your Data may be deleted as per our Data Deletion Policy
• Outstanding fees remain payable

We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in fraudulent or abusive behaviour, with or without notice depending on severity.

13. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.

Before initiating any legal proceedings, both parties agree to attempt good-faith resolution through direct communication for at least 30 days.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email and/or an in-app notice at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Data Deletion Instructions, constitute the entire agreement between you and us regarding the Service.
